Why Nilam Partners

Counsel Built Around Your Specific Position

Commercial contracts shape every business relationship. The language you accept at signing determines the scope of your obligations, the limits of your recourse, and the cost of any disagreement that follows. Nilam Partners approaches each matter with deliberate care — not standard templates applied without thought.

Operating from Kuala Lumpur since 2009, our team has advised businesses across manufacturing, technology, and professional services sectors on the full contract lifecycle — from initial drafting through to dispute avoidance.

Explore Our Advantages

Malaysian Law Grounding

Every document we produce is assessed against the Contracts Act 1950, applicable subsidiary legislation, and current judicial interpretation in the Malaysian courts.

Full Lifecycle Coverage

From first draft to portfolio-wide compliance review — we support businesses at every stage of their contract management, not just at the point of initial signing.

Plain-Language Explanations

Legal documents are explained clearly at each stage. You will understand what you are agreeing to before any document is finalised or submitted for execution.

Risk-Focused Review Process

Our review methodology prioritises the clauses that carry the most operational and financial exposure — liability caps, indemnities, termination rights, and dispute resolution provisions.

Cross-Border Competency

We advise on contracts where foreign law applies or where counterparties are incorporated outside Malaysia — coordinating with overseas counsel where needed.

Defined Timelines

Each engagement begins with a scoping call and a written timeline. We do not work to open-ended retainers — deliverables and completion windows are agreed in advance.

Common Questions

Frequently Asked Questions

What types of contracts does Nilam Partners handle?
We handle a wide range of commercial contracts including supply agreements, service-level agreements, non-disclosure agreements, memoranda of understanding, joint venture agreements, franchise documents, and technology licensing arrangements. Each document is approached on its own terms rather than processed through a generic template system.
How long does a standard agreement typically take to prepare?
For standard commercial agreements, turnaround is typically seven to ten working days from the point of instruction. More complex matters involving multi-party negotiations or cross-border considerations may require four to twelve weeks depending on the number of negotiation rounds and counterparty responsiveness.
Does your quoted fee cover revisions and changes?
The Standard Agreement Drafting fee includes one round of revisions based on your feedback. For complex negotiation engagements, marked-up drafts and a negotiation points tracker are deliverables within the agreed scope. Where additional revision rounds are needed beyond the scope, we discuss and agree the position with you in advance.
When does a company need a Contract Portfolio Audit?
A portfolio audit is particularly valuable during management transitions, where a new leadership team needs to understand inherited obligations, and during pre-acquisition due diligence when a buyer needs a clear picture of the target's contractual exposures. It is also appropriate for organisations that have grown quickly and have not maintained a structured contract register.
Do you advise on contracts governed by foreign law?
Yes. For contracts where a foreign governing law clause applies or where counterparties are based outside Malaysia, we advise on the Malaysian side of the arrangement and coordinate with qualified overseas counsel where the foreign law requires specialist input. The scope and any coordination costs are confirmed at the outset of engagement.
How do I begin an engagement with Nilam Partners?
The process begins with a brief scoping call or written enquiry describing the nature of your requirement. We will respond with an assessment of the appropriate service, a written timeline, and a fee confirmation. Once you confirm instructions, we proceed with onboarding and work commencement.
