Challenge

A buyer acquiring a software company needed to understand the target's contractual obligations, including SaaS customer agreements, subcontractor arrangements, and software licensing commitments, before finalising the acquisition price and structure.

Approach

Nilam Partners reviewed forty-three active contracts across five categories. The risk-rated register identified eight contracts with high-exposure clauses, including two with change-of-control provisions that would require counterparty consent post-acquisition.

Outcome

The buyer restructured the acquisition as an asset purchase rather than a share purchase in part to avoid triggering the change-of-control clauses. The audit findings also produced a price adjustment of RM 180,000 to reflect the remediation cost of non-standard SLA commitments identified during the review.

The foreign governing law proposal was addressed through a carve-out preserving Malaysian law jurisdiction for Malaysian operational matters.
